How Our Platform Works: Ivy Guide Tutoring provides direct educational tutoring through its founder, Troup Wood, and connects families with independent tutors. This agreement sets the ground rules for using our website, instruction, and platform services.

Ivy Guide Tutoring ("Company," "we," or "us") provides direct tutoring services through Troup Wood and operates a referral and payment coordinator platform connecting clients ("Client" or "you") with independent educational service providers ("Tutors").
Where Client is matched with an independent Tutor:

Tutors operate as separate independent entities who set their own availability, instructional methods, and hourly rates.

Tutors are independent service providers and not partners, joint venturers, or legal agents of the Company.

The Company does not direct or supervise the specific educational strategies utilized during independent tutoring sessions.
2. Payment Processing
Ivy Guide Tutoring processes payments for direct instruction and on behalf of independent Tutors. By scheduling sessions, you authorize us to collect payment for the applicable rates and associated administrative fees.
3. Limitation of Liability
To the fullest extent permitted by California law:

Ivy Guide Tutoring acts as an instructor and referral coordinator and is not liable for any acts, omissions, representations, or conduct of independent Tutors.

Ivy Guide Tutoring makes no guarantees regarding specific academic grades, standardized test scores, or educational admissions outcomes.

In all cases, the maximum aggregate liability of Ivy Guide Tutoring and Troup Wood arising out of or related to your use of our services shall not exceed the total fees paid by you to Ivy Guide Tutoring or Troup Wood in the thirty (30) days preceding any claim.
4. Indemnification
You agree to defend, indemnify, and hold harmless Ivy Guide Tutoring, Troup Wood, and any representatives from any claims, liabilities, damages, or expenses (including reasonable legal fees) arising from your use of our platform or your interactions with independent Tutors who were referred to you from us.
5. Mandatory Mediation for Disputes
Any dispute or controversy arising out of or relating to this agreement or our services shall first be submitted to non-binding mediation before a mutually agreed-upon mediator in Los Angeles County, California, prior to initiating formal court proceedings.
6. Updates to Terms
We reserve the right to modify these terms at any time. Continued use of our website or services following posted updates constitutes acceptance of the modified terms.
